Tovee.AI is owned and operated by Cytisum Digital Consulting Inc. ("Company," "we," "us," or "our").

These Terms of Service ("Terms") constitute a legally binding agreement between you (including any entity you represent) and Cytisum Digital Consulting Inc. governing your access to and use of the Tovee.AI website, MCP endpoint service, and all related features and functionality (collectively, the "Service").

By creating an account, accessing the Service, or using any feature, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use the Service.

If you are agreeing to these Terms on behalf of an organization or legal entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms. In that case, "you" refers to that organization or entity.

1. Service Description

Tovee.AI enables users to create, host, and manage personal MCP (Model Context Protocol) endpoints. The Service allows users to:

Connect Productivity Applications: Integrate third-party applications including Gmail, Google Calendar, Slack, WhatsApp, and other supported platforms through OAuth 2.0 authorization.

Configure Tools: Select and configure which tools and functions to expose through the MCP endpoint, defining available capabilities and access scopes.

Generate API Keys: Create and manage API keys required for AI model clients (such as ChatGPT or Claude) to access the MCP endpoint.

Execute Tool Calls: Enable AI model clients to invoke tools on behalf of the user, executing actions in connected applications subject to user-defined permissions.

Monitor Usage: Access logs, audit trails, and usage analytics for tool calls executed through the endpoint.

The Service acts as an intermediary between AI model clients and productivity applications. We do not proxy or intercept conversations between users and AI models. AI model providers process conversation data according to their own terms and privacy policies.

2. Eligibility and Account Registration

Minimum Age: Users must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

Account Creation: To access the Service, you must create an account by providing accurate, complete, and current information including a valid email address. You agree to maintain and promptly update account information to ensure accuracy.

Account Security: You are responsible for maintaining the confidentiality of account credentials, API keys, MCP endpoint URLs, and any other authentication information. You are solely responsible for all activities that occur under your account, whether or not authorized by you.

Unauthorized Access: You must immediately notify us at info@cytisum.com if you suspect unauthorized access to your account, API key compromise, or any security breach. We are not liable for losses resulting from unauthorized access due to failure to protect credentials.

Account Suspension: We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in abusive or fraudulent conduct.

3. User Responsibilities and Acceptable Use

You are solely responsible for:

Authorization and Consent: Ensuring you have the legal right and authority to connect third-party applications, access data, and execute tool calls. You must obtain all necessary consents from data subjects when processing personal data belonging to others.

Permission Management: Reviewing and understanding OAuth scopes and permissions requested by the Service before granting authorization. You should grant the minimum permissions necessary for desired functionality.

Tool Configuration: Selecting which tools to expose through your MCP endpoint. You are responsible for understanding the capabilities and potential impact of each tool.

Third-Party Terms: Complying with the terms of service, privacy policies, and usage restrictions of all connected third-party applications (Gmail, Slack, Google Calendar, WhatsApp, etc.) and AI model providers (OpenAI, Anthropic, etc.).

Output Review: Reviewing AI model outputs before taking action, sending communications, or making decisions based on AI-generated content. AI models may produce inaccurate, incomplete, biased, or inappropriate outputs.

Data Protection: Complying with applicable data protection and privacy laws when processing personal data through the Service, including GDPR, CCPA, PIPEDA, and other regional regulations.

Credential Protection: Safeguarding API keys, OAuth tokens, and endpoint URLs. You must not embed credentials in publicly accessible code repositories, share credentials with unauthorized parties, or store credentials insecurely.

Security Practices: Implementing reasonable security measures on devices and networks used to access the Service. You must use current, supported software and enable security features such as multi-factor authentication where available.

4. Prohibited Activities

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

Illegal Conduct: Violating any applicable federal, state, provincial, local, or international law, regulation, or legal requirement.

Intellectual Property Infringement: Infringing copyrights, trademarks, patents, trade secrets, or other intellectual property rights of any party.

Privacy Violations: Violating privacy or data protection rights, including unauthorized collection, use, or disclosure of personal data.

Unauthorized Access: Attempting to gain unauthorized access to the Service, other user accounts, connected applications, or computer systems or networks through hacking, password mining, or any other means.

Service Disruption: Interfering with or disrupting the integrity or performance of the Service, servers, networks, or infrastructure, including through denial-of-service attacks, malware, or excessive requests.

Security Testing: Conducting security testing, penetration testing, or vulnerability scanning without prior written authorization.

Spam and Malware: Transmitting spam, unsolicited messages, malware, viruses, or malicious code through the Service or connected applications.

Abuse and Harassment: Transmitting unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, discriminatory, or otherwise objectionable material.

Circumvention: Bypassing rate limits, usage restrictions, security controls, or technical protection measures.

Impersonation: Impersonating any person or entity, misrepresenting affiliation with any person or entity, or using false identities.

Competing Services: Using the Service to develop, operate, or provide a competing hosted MCP platform or service without authorization.

Data Scraping: Systematically scraping, crawling, or harvesting data from the Service or connected applications beyond personal use.

Automated Abuse: Using bots, scripts, or automation tools to abuse the Service, generate artificial traffic, or circumvent protections.

We reserve the right to investigate suspected violations, suspend or terminate accounts engaged in prohibited activities, remove content that violates these Terms, report illegal activities to law enforcement, and cooperate with legal investigations.

5. Third-Party Services and Integrations

Third-Party Platforms: The Service integrates with third-party productivity applications including Gmail, Google Calendar, Slack, WhatsApp, and others. These platforms are governed by their own terms of service and privacy policies. We do not control third-party platforms and are not responsible for their availability, functionality, content, or data practices.

AI Model Providers: Users connect their MCP endpoint to AI model clients such as ChatGPT (OpenAI), Claude (Anthropic), or other compatible clients. AI model providers process conversation data, inputs, and outputs according to their own terms and privacy policies. We do not control AI models and are not responsible for model behavior, outputs, accuracy, or compliance with user requests.

Authentication Services: User authentication is managed by third-party identity providers. Authentication services are governed by their own terms and privacy policies.

Payment Processors: For paid plans, payments are processed by third-party payment processors subject to their terms and policies.

Service Dependencies: The functionality of Tovee.AI depends on the availability and continued support of third-party services. We are not liable for disruptions, changes, or discontinuation of third-party services that affect the Service.

API Changes: Third-party platforms may modify or deprecate APIs without notice. We will make reasonable efforts to adapt to API changes but do not guarantee continued compatibility with all third-party services.

No Endorsement: Integration with or support for third-party services does not constitute endorsement, recommendation, or guarantee of those services.

6. Intellectual Property Rights

Ownership: The Service and all original content, features, functionality, software code, interfaces, designs, trademarks, logos, and intellectual property are owned by Cytisum Digital Consulting Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal or internal business purposes. This license does not grant any ownership rights or right to resell, redistribute, or create derivative works.

Restrictions: You may not:

  • Copy, modify, reverse engineer, decompile, or disassemble any part of the Service

  • Remove or alter copyright notices, trademarks, or other proprietary markings

  • Use the Service name, logo, or branding without written permission

  • Frame or mirror any part of the Service without authorization

  • Use automated tools to extract, scrape, or download Service content beyond personal use

User Content License: You retain ownership of data, content, and configurations you provide to the Service. You grant us a limited, worldwide, royalty-free license to use, store, process, and transmit your content solely to provide, maintain, and improve the Service. This license terminates when you delete content or close your account, subject to reasonable backup retention periods.

Feedback: If you provide feedback, suggestions, or ideas about the Service, we may use and implement that feedback without restriction or compensation. You waive any intellectual property rights in feedback provided to us.

7. MCP Endpoints, API Keys, and Security

Endpoint Provisioning: Upon account creation, we provision one or more MCP endpoint URLs for your use. Endpoint URLs are unique to your account.

API Key Management: We provide API keys that authenticate requests to your MCP endpoint. API keys grant full access to your endpoint and connected applications within authorized scopes. You must:

  • Keep API keys confidential and secure

  • Not embed keys in publicly accessible code, repositories, or client-side applications

  • Rotate keys periodically and immediately upon suspected compromise

  • Revoke keys that are no longer needed

  • Use separate keys for different applications or environments when possible

Key Compromise: If you suspect API key compromise, OAuth token theft, or unauthorized access, immediately revoke the affected credentials through the Tovee.AI dashboard and notify us at info@cytisum.com. We will assist with incident response and may temporarily suspend your endpoint to prevent further unauthorized access.

Rate Limiting: API requests are subject to rate limits based on your plan tier, endpoint, and IP address. Rate limits prevent abuse and ensure fair resource allocation. Exceeding rate limits may result in temporary request throttling or rejection.

Security Best Practices: We strongly recommend:

  • Implementing multi-factor authentication on your Tovee.AI account

  • Using dedicated API keys for each AI model client or application

  • Monitoring tool call logs for unauthorized or suspicious activity

  • Restricting network access to MCP endpoints using IP allowlists where supported

  • Following OAuth security best practices including PKCE for public clients

8. Content, Data, and Logs

User Data Ownership: You retain all ownership rights in data, content, and information accessed through connected applications. We do not claim ownership of your content.

Limited Processing License: You grant us a limited license to access, process, and transmit data from connected applications solely to execute tool calls you authorize through your MCP endpoint. This processing is limited to the minimum scope necessary to perform the requested operation. We do not read, analyze, store, or use your content for any other purpose.

Audit Logs: We store audit logs containing metadata about tool calls including timestamps, tool names, success/failure status, and anonymized request identifiers. Audit logs do not contain message content, conversation history, or data from connected applications. Logs are retained for security monitoring, abuse detection, and usage enforcement.

Configuration Data: We store tool configurations, enabled integrations, OAuth token metadata (encrypted), and endpoint settings necessary to operate the Service.

No Content Sale: We do not sell, share, or provide access to your content or data from connected applications to third parties including AI model providers, advertisers, or data brokers.

Data Retention: Data retention is governed by our Privacy Policy. Upon account deletion, your data is permanently removed subject to legal retention requirements.

9. Subscription Plans, Billing, and Payment

Plan Tiers: The Service may be offered in free and paid plan tiers with varying features, usage limits, and capabilities. Current plans and pricing are available on our website.

Billing: Paid plans are billed on a subscription basis (monthly or annually) as selected at checkout. Billing begins immediately upon subscription activation unless otherwise specified.

Payment Authorization: By subscribing to a paid plan, you authorize us and our payment processors to charge the payment method on file for recurring subscription fees. You must provide current, complete, and accurate payment information.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. Renewal charges will be billed at the then-current subscription rate.

Taxes: Subscription fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, goods and services, and other taxes based on your jurisdiction. We will collect and remit taxes where legally required.

Usage Limits: Plans include usage limits for API calls, tool executions, connected accounts, or other metrics. Exceeding limits may result in throttling, overage charges, or requirement to upgrade to a higher tier.

Price Changes: We may modify subscription pricing with at least 30 days' advance notice. Price changes take effect at the next renewal cycle. Continued use after a price change constitutes acceptance of the new pricing.

Cancellation: You may cancel your subscription at any time through the account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law.

Refund Policy: Subscription fees are generally non-refundable. Refunds may be issued at our sole discretion for extenuating circumstances or as required by law.

Payment Failure: If payment fails, we will attempt to reprocess the charge. Continued payment failure may result in account suspension or termination. You are responsible for updating payment information to ensure uninterrupted service.

Downgrade: Downgrading to a lower plan tier takes effect at the next billing cycle. No refunds or prorations are provided for downgrades unless otherwise specified.

10. Beta Features and Previews

Beta Access: We may offer access to beta features, preview releases, or experimental functionality. Beta features are clearly marked and provided for testing and feedback purposes.

No Warranty: Beta features are provided "as is" without warranties or guarantees of any kind. Beta features may contain bugs, errors, or defects. Performance, availability, and functionality are not guaranteed.

Changes and Discontinuation: We may modify, suspend, or discontinue beta features at any time without notice. Beta features may never reach general availability.

Reduced Support: Beta features may have limited or no customer support. We may request feedback but are not obligated to address issues or implement suggestions.

Data Loss: Beta features may result in data loss or corruption. You should not rely on beta features for critical operations or production use.

Terms Changes: Beta features may be subject to additional or different terms notified when enabling the feature.

11. Service Changes and Discontinuation

Right to Modify: We reserve the right to modify, suspend, or discontinue any feature, functionality, or integration of the Service at any time with or without notice.

Feature Changes: We may add, remove, or alter features, user interfaces, APIs, or supported integrations based on business needs, third-party requirements, or technical limitations.

Service Discontinuation: If we discontinue the Service entirely, we will provide at least 90 days' advance notice to allow data export and migration. Notice will be provided via email and in-product notification.

No Liability: We are not liable for any loss, damage, or inconvenience resulting from Service modifications or discontinuation.

Continued Use: Continued use of the Service after changes constitutes acceptance of the modified Service.

12. Service Availability and Maintenance

Uptime Goals: We strive to maintain high availability and reliability but do not guarantee uninterrupted, timely, secure, or error-free operation.

Maintenance: The Service may be temporarily unavailable for scheduled maintenance, updates, or repairs. We will provide advance notice of scheduled maintenance when feasible.

Unscheduled Downtime: The Service may experience unplanned outages due to technical issues, third-party service disruptions, infrastructure failures, or security incidents. We will work to restore service promptly but do not guarantee any specific restoration timeframe.

Third-Party Dependencies: Service availability depends on third-party platforms, APIs, hosting providers, and network infrastructure. We are not responsible for outages or disruptions caused by third-party services.

No SLA: Unless specified in a separate enterprise agreement, we do not provide service level agreements (SLAs), uptime guarantees, or compensation for downtime.

13. Disclaimer of Warranties

AS IS BASIS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT

  • WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT OR RESULTS

  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE

  • WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE FROM VIRUSES OR HARMFUL COMPONENTS

NO GUARANTEE: WE DO NOT WARRANT THAT:

  • The Service will meet your requirements or expectations

  • Tool calls will execute correctly or produce desired results

  • AI model outputs will be accurate, appropriate, or reliable

  • Data will be transmitted securely or without loss

  • Third-party integrations will function correctly or remain available

  • Your use will be lawful in all jurisdictions

THIRD-PARTY SERVICES: WE DISCLAIM ALL LIABILITY FOR THIRD-PARTY PLATFORMS, AI MODELS, AUTHENTICATION SERVICES, AND OTHER EXTERNAL SERVICES. WE DO NOT WARRANT THE RELIABILITY, SECURITY, OR COMPLIANCE OF THIRD-PARTY SERVICES.

Some jurisdictions do not allow exclusion of implied warranties. In such cases, the above exclusions may not apply in full, and warranties are limited to the maximum extent permitted by law.

14. Limitation of Liability

MAXIMUM LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF:

  • FIFTY CANADIAN DOLLARS (CAD $50), OR

  • THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

EXCLUSION OF DAMAGES: WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES

  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS

  • LOSS, CORRUPTION, UNAUTHORIZED ACCESS, OR DELETION OF DATA OR CONTENT

  • INTERRUPTION OF BUSINESS OR SERVICE DOWNTIME

  • COST OF SUBSTITUTE SERVICES OR TECHNOLOGY

  • DAMAGES ARISING FROM THIRD-PARTY SERVICES INCLUDING AI MODELS, CONNECTED APPLICATIONS, OR AUTHENTICATION PROVIDERS

  • DAMAGES ARISING FROM AI MODEL OUTPUTS, TOOL EXECUTIONS, OR ACTIONS TAKEN BASED ON SERVICE RESULTS

  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS DUE TO CREDENTIAL COMPROMISE OR SECURITY BREACHES AT THIRD-PARTY SERVICES

  • DAMAGES ARISING FROM YOUR VIOLATION OF THESE TERMS OR APPLICABLE LAW

FORCE MAJEURE: We are not liable for failure or delay in performance resulting from circumstances beyond our reasonable control including acts of God, natural disasters, war, terrorism, pandemics, government actions, labor disputes, internet or telecommunications failures, cyberattacks, or third-party service disruptions.

ESSENTIAL PURPOSE: The limitations in this section apply even if any remedy fails of its essential purpose.

JURISDICTIONAL LIMITATIONS: Some jurisdictions do not allow limitation or exclusion of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Cytisum Digital Consulting Inc., its affiliates, officers, directors, employees, agents, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising out of or related to:

Your Use: Your access to or use of the Service, MCP endpoints, API keys, or connected applications.

Your Content: Content, data, or information you provide, access, transmit, or process through the Service.

Violations: Your violation of these Terms, our Privacy Policy, or any applicable law or regulation.

Third-Party Rights: Your infringement or violation of any intellectual property, privacy, data protection, or other rights of any third party.

Connected Applications: Your use of or conduct on third-party platforms connected through the Service, including violations of their terms or policies.

Tool Executions: Actions taken, communications sent, or decisions made based on tool executions or AI model outputs.

Downstream Harm: Harm caused to third parties resulting from your use of the Service.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claim. You may not settle any claim that affects us without our prior written consent.

16. Termination and Suspension

Termination by You: You may terminate your account and discontinue use of the Service at any time by deleting your account through the dashboard or by contacting info@cytisum.com.

Termination by Us: We may suspend or terminate your access to the Service, in whole or in part, immediately and without prior notice if:

  • You violate these Terms or our Privacy Policy

  • Your use poses security, legal, or operational risks

  • You engage in fraudulent, abusive, or illegal conduct

  • Payment for a paid subscription fails and is not resolved within a reasonable period

  • We are required to do so by law, court order, or government authority

  • We discontinue the Service or your geographic region

  • We determine, in our sole discretion, that continued service is not feasible or prudent

Effect of Termination: Upon termination:

  • Your right to access and use the Service immediately ceases

  • Your MCP endpoints and API keys are disabled and no longer functional

  • Connected application authorizations may be revoked

  • Your account data will be deleted according to our data retention policy (typically within 30-90 days)

  • You remain responsible for all fees incurred prior to termination

  • You must cease all use of the Service and any associated intellectual property

Survival: The following provisions survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive.

Data Export: Before terminating your account, you should export any data or configurations you wish to retain. We are not obligated to provide access to data after termination, though we will make reasonable efforts to assist with data export requests made before account deletion.

17. Export Compliance and Sanctions

Export Controls: The Service may be subject to export control and sanctions laws and regulations including those of Canada, the United States, and other jurisdictions. You agree to comply with all applicable export and import laws.

Prohibited Jurisdictions: You may not access or use the Service from countries or territories subject to comprehensive trade embargoes or sanctions, or if you are a prohibited or sanctioned person or entity.

Prohibited Use: You may not use the Service to develop, produce, or traffic in restricted items, technologies, or materials, or to support prohibited end-uses.

Representation: You represent and warrant that you are not located in, under the control of, or a national or resident of any prohibited jurisdiction, and are not on any sanctions list.

18. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

Jurisdiction and Venue: Any legal action, suit, or proceeding arising out of or related to these Terms or the Service must be brought exclusively in the courts of competent jurisdiction located in British Columbia, Canada. You irrevocably consent to the exclusive jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

Waiver of Jury Trial: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND CYTISUM DIGITAL CONSULTING INC. WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY DISPUTE SHALL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Informal Resolution: Before initiating formal proceedings, we encourage you to contact us at info@cytisum.com to seek informal resolution of disputes.

Time Limitation: Any claim or cause of action arising out of or related to the Service must be filed within one (1) year after the claim arose, or such claim shall be permanently barred.

19. Changes to These Terms

Right to Modify: We may revise, update, or modify these Terms at any time at our sole discretion.

Notification: We will notify users of material changes by:

  • Updating the "Last Updated" date at the top of this page

  • Providing notice through the Service (in-product notification or banner)

  • Sending email notification to the address on file

Advance Notice: For material changes that reduce user rights or increase user obligations, we will provide at least 30 days' advance notice before changes take effect.

Effective Date: Changes become effective on the date specified in the notice or, if no date is specified, 30 days after posting.

Acceptance: Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to changes, you must discontinue use and may delete your account.

Material vs. Non-Material: Material changes include modifications to liability limitations, dispute resolution procedures, subscription pricing, data processing practices, or fundamental Service functionality. Non-material changes such as clarifications, formatting, or minor corrections may be made without advance notice.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements or policies referenced herein, constitute the entire agreement between you and Cytisum Digital Consulting Inc. regarding the Service and supersede all prior agreements, understandings, or communications.
